1. Acceptance of Terms

By accessing or using BidForge ("the Service"), operated by BidForge ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Account Terms

  • You must be at least 18 years old to use the Service.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account and password.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.
  • One person or legal entity may not maintain more than one free account.

3. Acceptable Use

You agree not to use BidForge to:

  • Violate any applicable laws or regulations
  • Send fraudulent, misleading, or deceptive proposals
  • Impersonate another person or entity
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to other accounts or systems
  • Use the Service for any illegal or unauthorized purpose
  • Transmit malicious code, viruses, or harmful data

4. Billing and Subscriptions

  • Free accounts are limited to 3 proposals per month.
  • Paid plans are billed monthly or annually as selected at checkout.
  • All fees are non-refundable except as required by law.
  • We reserve the right to change pricing with 30 days' notice.
  • Payment processing is handled securely by Stripe. We do not store your payment details.

5. Cancellation

  • You may cancel your subscription at any time from your account settings.
  • Cancellation takes effect at the end of your current billing period.
  • You retain access to paid features until the end of the billing period.
  • Upon cancellation, your data remains accessible but proposal generation is limited to the free tier.
  • You may request full account and data deletion by contacting support@bidforge.app.

6. AI-Generated Content Disclaimer

BidForge uses artificial intelligence to generate proposal content, including scope of work descriptions, pricing estimates, and related text. By using these features, you acknowledge and agree that:

  • Estimates are not guarantees. AI-generated pricing and cost estimates are approximations based on the information you provide, general industry data, and your configured rates. They are not binding quotes until you review and approve them.
  • You are responsible for accuracy. You must review all AI-generated content before sending proposals to clients. BidForge is not liable for inaccurate estimates, pricing errors, or omissions in generated content.
  • Professional judgment required. AI-generated proposals are a starting point, not a substitute for professional expertise. You should apply your trade knowledge to verify all details.
  • No guarantees of outcomes. BidForge does not guarantee that proposals will win jobs, that pricing will be competitive, or that generated content will be error-free.

7. Intellectual Property

  • You retain ownership of all content you create using BidForge, including proposals, client data, and company branding.
  • BidForge retains ownership of the platform, software, design, and underlying technology.
  • You grant us a limited license to use your content solely to provide the Service (e.g., generating PDFs, sending emails).

8. Limitation of Liability

To the maximum extent permitted by law, BidForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service. Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive (including limitation of liability, intellectual property, and dispute resolution).

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting updated terms and changing the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
